LiveStyle sells ID&T to Superstruct Entertainment

Loyens & Loeff advised longstanding client LiveStyle on its sale of ID&T to Superstruct, a portfolio company of Providence Equity.

Loyens & Loeff advised LiveStyle, the largest global producer of live events and digital entertainment content focused on electronic music, on the sale of ID&T to Superstruct.

The organiser of events such as Mysteryland and Awakenings comes into the hands of the British Superstruct Entertainment, the parent company behind major international festivals such as Sziget in Hungary and Wacken Open Air in Germany. Together, the parties involved in the transaction expect to be in a strong position when the festival market returns to normal next year and the years thereafter.

Loyens & Loeff already assisted current owner, Axar Capital when it gained control of ID&T by taking over the debts of SFX Entertainment in 2016. SFX bought ID&T in 2013, and in a short period of time became the world's largest dance organizer through a series of acquisitions. However, the Nasdaq-listed company quickly succumbed to its massive debt load.

The Loyens & Loeff team consists of Harmen Holtrop, Wouter Kros, Jaap Beens, Mayke Kamstra, Eline Viersen, Gearte Sijens, Casper Anneveld, Amit Havenaar, who gave advice on legal and tax matters of this deal.
