Loyens & Loeff Luxembourg advised the Ultrapar group with (i) the offering of USD 500 million 5.250% notes due 2029 (the Notes) via the group’s subsidiary, Ultrapar International S.A., a Luxembourg société anonyme, and with (ii) the tender offer conducted by Ultrapar International S.A. to purchase for cash of USD 200 million in aggregate principal amount of its outstanding 5.250% notes due 2026.
The offering was coordinated by Banco Bradesco BBI S.A., Citigroup Global Markets Inc., Goldman Sachs & Co. LLC, Itau BBA USA Securities, Inc. and Santander Investment Securities Inc.
The Brazilian Ultrapar group is operating in the sectors of fuel distribution, production of specialty chemicals, storage of liquid bulk and pharmacies.
Our team also assisted the Luxembourg issuer with the listing on the Official List of the Luxembourg Stock Exchange (LuxSE) and the admission to trading on the Euro MTF market operated by the LuxSE of the Notes.
