This is the second Snippet in a series on the insourcing of functions in Luxembourg fund structures. As outlined in the first Snippet, US fund managers (USFM) often set up their asset acquisition companies in Luxembourg to acquire European assets.

US fund managers (USFM) raising capital in the EU often establish a Luxembourg fund vehicle (Lux Fund). If the Lux Fund’s investment strategy targets Europe, it commonly makes those investments via Luxembourg asset acquisition companies (LuxCos).  

US fund managers seeking to raise capital in the EU are well aware of the fact that EU investors generally prefer to invest in a Luxembourg limited partnership (SCSp). In order to register an SCSp for marketing in the EU, the SCSp must exist.
