An outlook on LBO financing in Benelux

Belgian and European Fines for Non-Compliance with Standstill Obligation ('gun-jumping')

Against the odds, European financial sponsors enter 2021 with reasons to be optimistic. Private equity buyouts hit €180bn in 2020, the highest level since pre-financial crisis. Despite M&A markets being all but closed in Q2, renewed optimism after the summer saw a flurry of activity drive debt issuance in the race to the end of the year. Private lenders have also shown resilience, in the first major stress-test of the asset class. Requests to support portfolio companies in many sectors put documentation under the spotlight, with the introduction of "EBITDAC" to legal lexicon. Volatility in bond and loan markets prompted optimism among direct lenders to price deals, with new structures providing headroom for future liquidity needs. What are the prospects for sponsor-backed M&A in 2021? And how will debt markets adjust to future opportunities and challenges?
