This publication provides a bird’s-eye view of some of the more recent legal developments affecting the Dutch equity capital markets, namely:

  1. the first reflections on the EU Listing Act;
  2. the position of third-country central securities depositaries amidst the proposed amendments under the Market Integration and Supervision Package (MISP);
  3. the CSRD and CSDDD following the recent simplification measures;
  4. the digital shareholder meeting;
  5. the multiple voting rights directive; and
  6. the modernisation of Dutch NV law.

While these developments address certain issues that existed in previous legislation, this publication will explore some of the question marks that still remain and new question marks that have arisen.
