The acquisition represents a significant addition to Authentic's brand portfolio. Founded more than 135 years ago, Lee is one of the world's most recognised denim and workwear brands, generating approximately USD 1.5 billion in annual retail-equivalent sales across 73 countries. The transaction has attracted considerable industry attention due to the prominence of the Lee brand, the scale of the deal and its strategic importance for Authentic's continued growth.

We acted as Swiss and Belgian counsel to Authentic, advising on the Swiss and Belgian aspects of the transaction. Our multidisciplinary team provided support on corporate, employment, commercial and real estate matters, including due diligence and the review of transaction documentation, working alongside Kirkland & Ellis as lead counsel. 

Following completion of the transaction, Authentic intends to transition the Lee business to its asset-light licensing model and leverage its global network of licensing partners to support the brand's future expansion. The transaction remains subject to customary closing conditions and regulatory approvals and is expected to close during the second half of 2026.
