Honoured to have contributed to Dutch M&A Deal 2019

We are honoured to have contributed to the transaction that was voted the M&A Deal of the Year 2019 during the yearly Dutch M&A Awards Gala on 12 December 2019.

Loyens & Loeff advises VIVAT N.V. on the transaction whereby Chinese insurance company Anbang Group Holdings Co., Ltd. (‘Anbang’) has sold all of its shares in VIVAT N.V. to Athora Holding Ltd.(‘Athora’). In a back-to-back transaction, VIVAT Schadeverzekeringen N.V., the non-life insurances business, has been on-sold to NN Group N.V. for 416 million euro, whereby Athora (based in Bermuda) retains the life insurance business of VIVAT N.V, as well as Actiam, its asset manager, and Zwitserleven, its pension insurance business. The transaction was signed on 7th June 2019 and closing is subject to conditions precedent, among which anti-trust and regulatory clearances as well as works council consultation.
