Lorraine van Eyll specialises in corporate and association law. She advises and assists economic and civil-law entities on matters of internal organisation and delegation of powers, regulation of relations between shareholders or members, negotiation and implementation of in particular group (re)structuring and business acquisitions, and preparation of amendments to articles of association, shareholders’ agreements, internal regulations (including “corporate governance”), minutes and mandatory reports.
She also gives consultations and advice on matters of decision-making procedures and possible responsibilities of directors or managers with regard to their business, towards third parties or within the sphere of resolutions or guidelines adopted within the group of businesses. |
