Loyens & Loeff advised BS Private Equity SpA, the Italian private equity firm investing in manufacturing and service companies, on the acquisition of Tiscali International Network BV, the Netherland based internet service provider, from Tiscali SpA, the listed Italian Internet communication company providing broadband and narrowband services, for a consideration of EUR 54m.

Under the terms of the agreement, the consideration includes earnouts of EUR 7m which is payable based on the company's future performance. Tiscali International posted annual revenues of EUR 35m and EBITDA of EUR 10m for the year 2008. Post acquisition Tiscali International will continue to provide IP services to Tiscali group. The transaction is subject to approval from antitrust authority.
