Our Private Equity practice heads the market, in terms of private equity fund formation and transactions. A core team of 20 attorneys and tax lawyers are fully dedicated to the private equity practice in the Netherlands along with 25 colleagues in the other offices. Our practice operates Benelux-wide, to take advantage of the developments in this dynamic industry.
Our clients include private equity firms, their managers, investors and other players in the private equity industry. As regards size and experience, no other Dutch firm comes close to us, let alone in combination with our fund formation practice.
We have extensive knowledge of the business practices and the terms and conditions of the transactions in the fund business. This enables us to combine the tax, legal and regulatory aspects with the practical and financial aspects of structuring and implementing transactions, including an extensive in-house financial/tax modelling capacity of the transaction. We pool this knowledge to work in a goal-oriented and pragmatic way.
Members of our practice frequently speak at industry conferences or teach classes on Private Equity in universities or post-graduate education programmes.
Our focus is on the following aspects of private equity transactions:
- Fund design, formation & structuring, drafting, negotiating with regulators
- Negotiating initial and follow-up investments in all types of portfolio companies (from early stage venture capital investments to complex leveraged buyouts, secondaries and public-to-private transactions)
- Structuring acquisition vehicles, senior management participation and negotiating acquisition financing
- Adding value to portfolio companies by assisting them in expanding their businesses through buy-and-build strategies
- Exit planning and execution (whether through a sale to a strategic buyer, a secondary buyout or an initial public offering)
